Navio(TM) Acquires Mobile Content Distributor DVNO

Navio(TM), Inc., www.Navio.com, a digital commerce service provider, announces the acquisition of DVNO, as well as the full integration of its proprietary process for distributing mobile content at the retail point-of-sale. DVNO developed and built an application for retailers, wireless service providers and developers of digital entertainment to package and promote content for mobile devices. Navio has already established an authenticated and secure transaction system to buy and sell digital content over the Internet. Purchasing DVNO's unique retail distribution technology will allow Navio customers to find new sales channels in the fast-expanding mobile entertainment market.

"Increasing consumer choice and the number of venues for consumers to buy content ultimately increases revenues for all players in the wireless space," says Stefan Roever, CEO and founder of Navio. "Adding DVNO's marketing and promotional technology allows mobile content providers to reach consumers where they buy -- retail stores. It means carriers see an increase in customer satisfaction as well as download times, and Navio adds to the number of transactions we process."

"Most mobile consumers purchase ring tones, music and games as a one-time event, and are limited by the offerings of their carrier or handset maker," says David Dillard, former president at DVNO. "Navio and DVNO together remove this limitation," says Dillard, now vice president of North American sales for Navio. "The combined technologies will allow users to maintain their entertainment portfolio with a subscription or prepaid card model. Wireless customers will begin to find new value in existing handsets and service, because they can constantly change and update the applications they use."

In the deal, Navio completely consumes DVNO and its Mobile Fun-n-Games brand. Navio continues to promote its transaction system that allows content providers, carriers and retail outlets to share revenue. Immediate deployment of the expanded Navio service will see a turnkey solution for retailers to market and sell prepaid cards with PIN access to entertainment content on their own Web sites or via the Navio Store(TM).

How the Navio service works

Navio manages buyer and seller rights to access digital content in the form of XML based metadata, which defines Navio Active Vouchers. The company offers a comprehensive transaction and trading platform based on the exchange of these Active Vouchers. Navio Active Vouchers may be used to represent an offer to purchase content, a purchase receipt to download content, a payment instrument to represent stored value or credit card information, or a user identity to enable single-sign-on or end-user authentication. Navio's affiliate and loyalty services enable super-distribution of content where customers can extend purchase offers beyond themselves, and content providers can track affiliate sales chains. The Navio service is DRM agnostic, and works with any existing cryptographic scheme to protect digital content as it is streamed over Navio's network or stored on a user's computer.

What DVNO brings to Navio

DVNO adds to Navio a unique distribution service for mobile entertainment products. Carriers, retailers, handset manufactures, content developers and entertainment companies will find new marketing and promotional channels to increase or build new revenue streams from the sale of wireless applications such as games, music and ringtones. Navio has acquired DVNO's proprietary process to distribute, activate, and differentiate mobile entertainment applications direct to consumer in the retail channel, and compensate service providers, retailers and content owners from a single revenue chain.
